Our due diligence service supports the decision makers during acquisitions and shareholder control. Following our work, the decision makers receive up-to-date information about the Target, which is essential during negotiations and planning of the acquisition structuring. During a due diligence we review certain matters of the Target previously agreed by the Acquirer. We provide detailed report about the findings and make an objective risk assessment including the following main areas:
- Financial due-diligence: we review the retrospective financial information such as reports, bookkeeping, accounting data and extract the important content according to the need of the Acquirer.
- Tax due-diligence: its primary objective is to identify the tax risks and application of potentially aggressive tax policies; we reveal the potential tax issues in time and make recommendations to mitigate the consequences, if any.
- Technical, IT and HR due-diligence: usually these are part of a larger scale assignment; we can involve external professionals for such areas to be able to provide a complex service.
